Title: Third party distribution letter

You have received this email because you a while ago sent us a project folder with some
of your best images. We have now reviewed all received project folders, and are happy
to say that a portion of your images will be included in our third party sales. The number of
images selected will vary from contributor to contributor, but we will give you an exact
number when you receive your first payment.

Your images will be available for sale through our distribution partner in England. The
company in question has a large distribution network and sales channels in several
european countries. Commission from these sales will follow YAY's commission rates
for credits sales (50 %).

We are also in talks with two other agencies where we would also like to include your
images, if the deals go through. The same commission, of course.

All this requires no extra work for you, and the income from the sales will be credited directly
to your account at YAY every quarter, starting Q3.

Please read the following third party agreement and feel free to send me a mail if
you have any questions.

THIRD PARTY LICENSING AGREEMENT


1. LICENSES

All images will be sold under an RF-license. The third party also sells Extended Licenses. If they
get a request for this they will negotiate a price on a case-by-case basis.


2. PHOTOGRAPHERS AND IMAGES

The number of images from each photographer will be determined by the third party.
The photographers will be informed on how many images from their portfolio is being
represented in a quarterly report.


3. PRICES

The images will mostly be sold through a subscription model on the third party sites.
The commission YAY receives from subscription sales are based on how much
the customer has paid, divided on the number of downloads.

Some images might be included in a more exclusive RF offering, where prices are
considerably higher. This also includes distribution of RF CDs and DVDs.


4. PAYMENT AND COMMISSION

Earning received from sales will be added to the contributor's account at YAY on a quarterly
basis. The commission is 50 % of YAY's earnings.


5. TERMS AND TERMINATION

Consequently the photographer agrees that his/her images will be licensed non-exclusively
through a third-party. YAY's contributor agreement will be valid also for third party licensing.

The deal is valid for three - 3 - years and will be renewed for one - 1 - year after this
initial period. It is possible for the photographer to opt-put of the deal after one - 1- year by
contacting YAY.

yep, got that this morning too. I had some questions and Jan answered me in about 2 minutes by email. I thought about it seriously because some of my images will be locked in for 1 year. Finally, I decided to join and wait til next summer to decide if I want to go exclusive with IS. It will give me time to evaluate Veer's performance and maybe get some good sales through that Yay partnership.

Did I misread you, you said "finally I decided to join". So you said yes ?

How is this quoted part of the agreement going to affect you if you go exclusive with IS next summer:

If your images get included in this MORE EXCLUSIVE RF OFFERING.

From what it reads, the tie up is 3 years. Not one year. It never mentioned anything about what happens to the Exclusive offering.
It only says at the end that it's a 3 year agreement NON-exclusive.

It's a bit vague , isn't it?

It's a 3 year agreement between Yay and their partner but after one year, you can opt out. That is what I clarified with Jan this morning.
