so on the video side, what are the pros and cons of each.  other than the price.

i do like the 24p on the nikon, does it make a difference in look?

Well, a quick summary of the video specs :

Nikon D90 :
- Format : AVI (Motion-JPEG)
- Sizes :
   - 1280x720 / 24 fps (16:9)
   - 640x424 / 24 fps (3:2)
   - 320x216 / 24 fps (3:2)
- Audio : 11 KHz / 16bit / mono
- Time limit :
   - 5 mn for 720p
   - 20 mn for others
- Autofocus : no

Canon 5D MkII :
- Format : Quicktime MOV (H.264)
- Sizes :
   - 1920x1080 / 30 fps (16:9)
   - 640x480 / 30 fps (4:3)
- Audio : 44 KHz / 16bit / mono (embeded) or stereo (mic in)
- Time limit :
   - 12 mn for 1080p
   - 24 mn for 480p
- Autofocus : contrast detection

Plus other advantages of 5DII vs D90 (FF, shallow DOF, high ISOs)

As of 24p vs 30p, it's regarded as one of the specs which contributes to a filmic look (along with shallow DOF). Several threads talk about this subject on DPReview message board.

You may have a look at Chase Jarvis' video with the D90, and wait a few more days for Vincent Laforet's movie with the 5D MkII.

I don't think I'd be too concerned about audio but just out of curiosity I wonder how they handle with the noise  coming form the lens while focusing(real one not the digital one:)  ie. the sound of IS lenses and noisy cheap lenses like canon ef  50mm 1.8.?
I guess if audio is important then it'd be best using an external mic.so 5d m2 's mic in is very important.

The Nikon D90 video is terrible

The 5D video is apparently phenomenal according to vincent laforet.

I'm getting D90 this afternoon. no money for switching to Canon. What do you think: will D90 footage be acceptable for StockXpert and IS? Shutterstock said they will accept it.
I'm more concerned about video compression rate than rolling shutter or crappy sound. I don't know if it's sufficent for stock footage, but I fear it's on the lo-fi side...

well I'll have to agree with ichiro17 ... the vid isn't all it's cracked up to be on the D90.  Bought one the other day for fun...  and whilst I've only used it once, can't say that I'm impressed with the quality, sound or useability (if that's a word?)  ???   might take it on the job this weekend and try some "stock" footage and see how we go... ain't holdin' me breath just yet.
